1. Accepting these terms

The BiziBiz site is operated by קופהלי פתרונות תוכנה בע״מ ("Kupali Software Solutions Ltd."), Israeli company no. 517400875 (the "Operator").

BiziBiz is an Israeli site for the business world: listings, news, guides, grants and market data. Browsing the site, registering for it and using any of its services constitute acceptance of these terms and of the privacy policy.

If you do not agree to these terms, please do not use the site. Accounts may be opened from age 16. Users aged 16–17 need a parent’s or guardian’s consent to use the service and for any action requiring it under applicable law. Anyone acting for a company represents that they are authorised to bind it.

2. BiziBiz is a platform, not a party to any deal

BiziBiz publishes listings and information. It does not sell, does not buy, does not broker and is not a party to any transaction that arises from a posting on the site.

Every contact, negotiation, agreement, payment and transfer of ownership happens directly between users, at their own risk and by their own means. BiziBiz holds no funds, provides no escrow, and does not guarantee that a deal will close, that the parties will agree or that anyone will be paid.

BiziBiz does not verify users' identity, their ownership of the business or property advertised, the financial figures in a listing, the existence of licences and permits, or the accuracy of any other statement a poster makes. Publication of a listing is not a recommendation, an approval or an opinion about the poster or the asset.

Before entering into any agreement, carry out your own due diligence — examine the documents, verify figures at source, and consult your own lawyer, accountant or appraiser.

3. The service is free

BiziBiz is free to use. There is no subscription, no listing fee, no success fee and no commission on a completed deal.

There is no payment form anywhere on the site, and we never ask for payment details. If you receive a message that appears to come from BiziBiz demanding payment, it is not from us — please report it.

If a paid service is ever added, it will be clearly marked as paid before any commitment, and services that were free will not become paid retroactively.

4. Your account

Some actions — posting a listing, messaging a poster, saving items — require an account. You are responsible for the accuracy of the details you provide, for keeping your sign-in method secure, and for everything done from your account.

• Do not open an account in someone else's name or impersonate a person, business or body.
• Do not share your sign-in details or let anyone else use your account.
• Tell us as soon as you become aware of unauthorised use of your account.

You may close your account at any time by contacting us. Closing an account does not cancel obligations created before it was closed, and does not delete information we are required by law to keep.

5. Content posted by users

The accuracy, legality and rights in a listing are the sole responsibility of whoever posted it.

With every posting, the poster represents that the information is true and current; that they have the right to sell, let or offer what is advertised; that they own the rights in the text and images or have permission to use them; and that the posting breaches no law, no third-party right and no order of a competent authority.

The following must not be posted:

• False, misleading or inflated information, including turnover, profit or yield figures with no basis.
• Goods, services or assets whose trade is prohibited or requires a licence the poster does not hold.
• Content that infringes copyright, trade marks, trade secrets or another person's privacy.
• Another person's personal details without their consent, including photographs in which people are identifiable.
• Threatening, inciting, racist, offensive or harassing content, or content that degrades a person.
• Fraud, pyramid schemes, promises of profit, and commercial advertising unrelated to the listing itself.
• Malicious code, dangerous links, or any attempt to obtain information from other users by deception.
• Duplicate listings, reposting the same item across categories, or any automated use (scraping, bots) we have not approved in writing.

The private messaging on the site is for enquiring about a listing. It must not be used for marketing, service offers or bulk outreach.

6. Review, editing and removal

Before a listing is published it goes through an automated check: a system reads the listing's text, the images attached to it and the pages it links to, and assesses whether they comply with these terms. A listing that fails the check is not published and is returned to its author with the reason; a listing whose check could not be completed is not published and waits for a person to review it. In both cases a case stays open in the site's moderation system. That check is a compliance check only — it is not verification of the figures in the listing, and must not be relied on as if it were.

We may, reasonably and subject to applicable law, decline to publish a listing, edit its classification or wording for clarity, remove published content, block a conversation or restrict use — including where these terms or the law appear to have been breached, where a well-founded complaint is received, or where the law or an authority requires it.

If your listing is removed you may contact us and ask why. Wherever content was removed in error on our part, we will restore it.

Found something offensive, misleading or infringing? Write to us and we will look into it. A message with a link to the listing and a short description is handled fastest.

7. Information, market data, news and guides

Nothing on this site is investment, financial, tax or legal advice, and none of it replaces personal advice from a qualified professional.

The markets pages show data collected from external sources. Every figure is shown with its source, its own timestamp and our refresh interval. These are not execution prices, they are not intended for trading, and they do not replace the exchange's or the publisher's own data. Delays, outages and differences from the source are possible.

News, guides and grants are written and checked by us and carry a link to the source and a date of verification. Regulatory information, grant amounts and deadlines change — verify at the official source before acting. We do not undertake that the information is complete, accurate or current at any given moment.

Links to external sites are provided for convenience only. We do not control their content and are not responsible for it.

8. Intellectual property

The BiziBiz name, logo, design, code, guides and editorial content belong to BiziBiz or to those who licensed them to it. They may not be copied, reproduced, distributed or adapted without written permission, other than fair quotation with a link to the source.

Rights in content a user posts — text, images and data — remain that user's. By posting, the user grants BiziBiz a non-exclusive, worldwide, royalty-free licence to display, store and reproduce the content for display, to resize images and convert their format, and to include it in search results, category pages and previews on the site, in search engines, and on social networks and messaging apps — that last preview is generated when somebody shares a link to the listing, and it carries the listing's title, summary and first photograph. All of this solely in order to operate the service.

The licence ends when the content is removed from the site, except for technical copies held in backups or in third-party caches outside our control.

9. Limitation of liability

The service is provided AS IS and as available. We do not undertake that the site will run continuously, without faults or without interruption, that it will be free of defects, or that the results of using it will suit any particular purpose.

Subject to applicable law, we are not responsible for independent representations or commitments made by users and third parties, or for the outcome of transactions between them. The operator’s responsibility for its own acts or omissions is determined by applicable law; these terms do not provide a blanket exemption from that responsibility.

None of the above limits rights that cannot be contracted out of under applicable law, including consumer rights under Israeli law.

A user is responsible for damage caused by their breach of these terms or the law, as determined under applicable law. Any indemnity claim is limited to loss and reasonable costs caused by that breach, excluding the operator’s own acts or omissions. We will notify the user of a relevant claim and give them a reasonable opportunity to respond and participate in the defence.

10. Suspension and closure of accounts

We may suspend or close an account, and remove the content posted from it, where these terms or the law have been breached, where there is reasonable suspicion of fraud or impersonation, where the account is used to harass other users, or where the law requires it.

Where circumstances allow we will give notice of a suspension and let you respond. For a serious or continuing breach, and where waiting would harm other users, suspension is immediate and notice follows.

11. Changes to the service and to these terms

The site evolves: we add, change and sometimes discontinue services. We may update these terms from time to time. Each version shows its version number (its publication date) and effective date at the top of the page.

When the substance of the terms changes, registered users are asked to accept the new version before an action that requires agreement (posting a listing or sending a message). That acceptance is stored alongside the version number and the date.

12. Governing law and jurisdiction

These terms and any use of the site are governed solely by the laws of the State of Israel, excluding their conflict-of-laws rules.

Jurisdiction and venue are determined by applicable law. These terms do not restrict your right to apply to a competent court or bring a small claim where the law allows it.

If a court finds any provision invalid, the remaining provisions stay in force.
